● All commercial terms (pricing, order process, minimums, payment terms, delivery conditions) are communicated in writing before the start of the partnership.

● Minimum order value: €500 (unless otherwise agreed).

● Payment is due prior to shipment unless specified otherwise.

● Delivery times are indicative. No penalties apply in case of delay.

● Product warranties:

○ Perifit Care / Care+: 2 years on device, 5 years on battery

○ Perifit Pump: 2 years on hub, 90 days on washable parts

● Perifit handles support for technical defects. Faulty items are replaced directly with the end user.

● For non-technical returns, resellers may apply their own policy.

● Returns must be pre-authorized. Only unopened, unlabelled goods in original packaging will be accepted.

● The Perifit devices must be stored in a controlled environment with temperatures maintained between 0°C and 40°C, and under normal ambient humidity conditions (i.e. relative humidity between 30% and 75%, non-condensing).

● The storage facility must implement and maintain an effective pest control program, with regular inspections and documentation. The warehouse must also ensure proper segregation of conforming and non-conforming products, maintain traceability of batches, and implement controls to prevent mix-ups or contamination. Environmental monitoring, cleanliness, and staff hygiene must be upheld to ensure the integrity of medical devices.

● Any relabelling, repackaging, rework, or handling of non-conformities must not be performed without prior written authorization from the Perifit Quality Assurance Manager. All deviations or incidents impacting product condition must be communicated to Perifit without delay.

● Perifit retains full control over the use of its brand image in any marketing, promotional, or communication activities. Accordingly, resellers shall not transmit, publish, or use any marketing or communication materials without obtaining the Brand Owner’s prior final and express written approval.

● Paid advertising using the “Perifit” brand name or product terms as keywords is subject to written authorization. This includes, but is not limited to, search engine advertising (e.g., Google Ads) and Google Shopping campaigns. Resellers may not include the brand name “Perifit” in any shopping feed or campaign without prior written consent, and must explicitly exclude Perifit-related keywords and products if running generic product category ads.

● Resale on third-party marketplaces (Amazon, Cdiscount, etc.) is strictly prohibited without prior written approval.

● Any breach of these provisions constitutes grounds for termination of the commercial relationship.

● If unauthorized advertising or marketplace resale occurs, Perifit reserves the right to:

○ Issue a formal warning

○ Suspend or terminate the partnership without compensation

○ Rebuy unsold inventory at purchase price (excl. VAT) within a reasonable timeframe

● Perifit retains all intellectual property rights.

● Resellers may only use trademarks and brand assets as approved.

● Use of “Perifit” in domain names, social media handles, or business names is prohibited without express authorization.

● All commercial information shared between the parties is confidential.

● Resellers must comply with applicable laws and ensure claims made about the product are accurate and lawful.

● Perifit reserves the right to discontinue the partnership if the reseller’s practices conflict with brand values or legal requirements.

● Perifit may terminate the relationship immediately for breach of the present terms or misuse of the brand.

● Upon termination, the reseller must cease using all Perifit trademarks and return or destroy confidential material upon request.

These Terms are governed by French law. Any disputes fall under the exclusive jurisdiction of the courts of Paris, France.
